1. Who you are contracting with
terminio.ai ("the Service") is operated by Aaron Schmidt("we", "us", "Provider"). By creating an account or otherwise using the Service, you ("you", "Customer") enter into a binding agreement with Aaron Schmidt on these Terms.
If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation. If you are an individual, you confirm that you are of legal age in your jurisdiction.
2. The Service
terminio.ai is a SaaS appointment-booking tool that lets businesses publish a booking page, manage staff and services, send reminders (including WhatsApp), and track customers.
3. Acceptance
By continuing to use the Service, you accept these Terms, our Privacy Notice, and our Refund Policy.
4. Account and credentials
You are responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.
5. Acceptable use
You must not, and must not allow anyone else to:
- use the Service for any unlawful, fraudulent, or deceptive purpose, or to send spam;
- infringe any intellectual-property or privacy right of any third party;
- upload malware, probe, scan, or otherwise interfere with the security or integrity of the Service;
- scrape, harvest, or extract data from the Service except as expressly permitted;
- reverse engineer, decompile, or circumvent technical limitations of the Service;
- resell or redistribute the Service to third parties without our prior written consent.
6. Intellectual property
We retain all rights, title and interest in and to the Service, including all software, documentation, designs, and trade marks. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own internal business purposes within the plan you have selected.
You retain ownership of the content you upload (customer records, services, branding assets). You grant us a limited licence to host and process that content solely to provide the Service to you.
7. Plans, payments, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, taxes, cancellations and renewals for paid plans are governed by Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
8. Service availability
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
9. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if:
- you materially breach these Terms;
- payment for a paid plan is not received;
- we reasonably believe there is a security or fraud risk; or
- you repeatedly or seriously violate our acceptable-use rules.
You may stop using the Service at any time. On termination, your right to access the Service ends. We will keep your data for a reasonable export window and then delete or anonymise it.
10. Liability
To the fullest extent permitted by law, our aggregate liability under or in connection with these Terms is limited to the fees you have paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
11. Your indemnity
You indemnify us against claims arising from (a) content you upload, (b) your unlawful use of the Service, or (c) your breach of these Terms.
12. Changes
We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the Service after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of Germany. The courts of Aaron Schmidt's place of business have exclusive jurisdiction, subject to any mandatory consumer-protection rules of your country of residence.
